## 1. Agreement

By accessing empireos-inc.com or the EmpireOS platform, you agree to these Terms. If you use the service for an organization, you represent that you have authority to bind it.

## 2. The service

EmpireOS provides software that aggregates and analyzes revenue signals across connected sales and CRM systems. Access during the Founding Partner or early-access period may be limited, may change, and is provided on an evolving basis.

## 3. Accounts and eligibility

You must provide accurate information and are responsible for activity under your account and for maintaining the confidentiality of credentials. You must be at least 18 (or the age of majority in your jurisdiction).

## 4. Acceptable use

You will not misuse the service, including: reverse engineering, unauthorized access, scraping, interfering with operation, uploading unlawful content, or using it to violate any law or third-party right.

## 5. Customer data and connected services

You retain ownership of data you submit or connect. You grant EmpireOS a limited license to process that data solely to provide the service. You are responsible for having the rights and permissions to connect any third-party system.

## 6. Fees

Paid plans, if any, are described at purchase. Founding Partner terms and pricing will be set out in a separate order or agreement.

## 7. Intellectual property

EmpireOS and its licensors own the platform, software, and brand. No rights are granted except as expressly stated.

## 8. Confidentiality

Each party will protect the other's non-public information disclosed in connection with the service.

## 9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

## 10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMPIREOS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, AND ITS TOTAL LIABILITY WILL NOT EXCEED THE AMOUNTS YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM (OR $100 IF NONE).

## 11. Termination

We may suspend or terminate access for breach or to protect the service. You may stop using the service at any time.

## 12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-laws rules. Disputes will be resolved in the state and federal courts located in Delaware, unless the parties agree to arbitration in a signed order.

## 13. Changes and contact

We may update these Terms and will post the new effective date; continued use means acceptance. Questions: hello@empireos-inc.com.
These Terms are under counsel review. The governing law, arbitration and liability-cap sections may be revised once that review completes, and the effective date above will be updated if they are. Questions in the meantime go to hello@empireos-inc.com.
